Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Travly Inc., 1 Lyford Cay, 7776, The Bahamas ("UGC100", "we", "us"), the company operating UGC100. They govern your access to and use of ugc100.com, app.ugc100.com, and all related tools and services (the "Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Your account

You must be at least 18 years old to use the Service. You are responsible for your account, for keeping your login credentials safe, and for everything that happens under your account, including actions taken by team members you invite into your workspace. Tell us right away at contact@ugc100.com if you believe your account has been compromised.

2. Plans, credits, and billing

Paid features are available through subscription plans and credit purchases. Prices and what each plan includes are shown at checkout. Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel anytime; your plan then runs until the end of the period already paid for. Credits are consumed when you use paid features and have no cash value. They are not transferable and may expire as stated when you receive them.

3. All sales are final

All purchases are final. We do not offer refunds, whether for subscription fees, credit purchases, partially used billing periods, or unused credits, except where a refund is required by applicable law. Please review your order before you buy.

4. Your content

You keep all rights to the material you upload and to the content you generate with the Service, including the right to use it commercially. You grant us the limited license needed to host, process, and display that material so we can provide the Service to you. We do not use your content to train our own AI models.

You are responsible for the content you create and publish: for having the rights to anything you upload, for how and where you publish generated content, and for complying with the rules of any platform you post to and the laws that apply to you, including any disclosure requirements for AI-generated material.

5. Rules of use

You may not use the Service to:

• Break the law or help anyone else break it.
• Create or spread deceptive, defamatory, or fraudulent content, including content that impersonates real people without their consent.
• Generate content involving minors or using someone's likeness without permission.
• Violate the intellectual property rights of others.
• Probe, overload, scrape, or interfere with the Service, or bypass usage limits and access controls.
• Resell or white-label the Service without our written consent.

We may remove content or suspend accounts that break these rules.

6. Third-party platforms

The Service works with third-party AI technology and social media platforms. We do not control them. Their availability, results, and policies can change at any time, and your use of any third-party platform is governed by that platform's own terms.

7. Availability and changes

We work hard to keep the Service fast and reliable, but we do not promise uninterrupted availability. We may add, change, or remove features at any time, and we may impose or adjust usage limits to protect the Service.

8. Disclaimer

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose. AI-generated output can be inaccurate or unexpected; review it before you rely on it or publish it. We make no promises about views, followers, revenue, or any other outcome.

9. Limitation of liability

To the maximum extent permitted by law, UGC100 will not be liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total liability for any claim arising out of the Service is limited to the amount you paid us in the three months before the event giving rise to the claim, or 100 US dollars, whichever is greater.

These exclusions and this cap do not apply to liability for intent or gross negligence, for death or personal injury caused by negligence, for fraud, or to any liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions these limits apply only to the extent permitted.

10. Indemnity

You agree to defend and hold UGC100 harmless from claims and costs, including reasonable legal fees, that arise from your content, your use of the Service, or your breach of these Terms.

11. Ending your account

You can stop using the Service and delete your account at any time. We may suspend or terminate accounts that violate these Terms or create risk for us or other users. Termination does not entitle you to a refund.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will notify you through the Service or by email before they take effect. Using the Service after the changes take effect means you accept them.

13. Governing law

These Terms are governed by the laws of the Commonwealth of The Bahamas, without regard to conflict-of-law rules. The courts of The Bahamas have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

If you use the Service as a consumer and the mandatory law of your country of residence grants you protections or a court forum that cannot be waived by contract, those rights remain unaffected.
